End User License Agreement

1. License Grant

Subject to the terms of this Agreement, Company grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application for your personal, non-commercial purposes on a single mobile device owned or controlled by you, strictly in accordance with the Application's documentation and this Agreement.

2. Restrictions

You agree not to, and you will not permit others to:

• Copy, modify, or distribute the Application or any portion thereof;
• Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Application;
• Rent, lease, lend, sell, sublicense, assign, or otherwise transfer rights to the Application;
• Remove, alter, or obscure any proprietary notice (including any copyright or trademark notice) from the Application;
• Use the Application for any unlawful purpose or in violation of any local, state, national, or international law;
• Use the Application to send automated queries to any website or to send unsolicited commercial e-mail;
• Use the Application in a way that could damage, disable, overburden, or impair any server or network connected to the Application.

3. Intellectual Property

The Application, including all content, features, and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), is owned by Company and is protected by international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

This Agreement does not grant you any rights to trademarks, service marks, or logos of Company or its licensors.

4. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

• Any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
• Any warranties regarding the security, reliability, timeliness, and performance of the Application;
• Any warranties that the Application will be uninterrupted, error-free, or free of viruses or other harmful components.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL COMPANY OR ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages;
• Loss of profits, revenue, data, use, goodwill, or other intangible losses;
• Damages resulting from your access to or use of or inability to access or use the Application;
• Damages resulting from any unauthorized access to or use of our servers and/or any personal information stored therein.

THE FOREGOING LIMITATIONS APPLY WHETHER SUCH DAMAGES ARISE OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR COMPANY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Indemnification

You agree to defend, indemnify and hold harmless Company and its licensors, service providers, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Application;
• Your violation of any term of this Agreement;
• Your violation of any third party right, including without limitation any copyright, property, or privacy right.

7. Termination

This Agreement is effective until terminated by you or Company. Your rights under this Agreement will terminate automatically without notice from Company if you fail to comply with any term of this Agreement.

Upon termination of this Agreement, you must:

• Cease all use of the Application;
• Delete all copies of the Application from your mobile device.

Termination of this Agreement will not limit any of Company's rights or remedies at law or in equity.

8. Export Compliance

You may not use or export the Application except as authorized by United States law and the laws of the jurisdiction in which the Application was obtained.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws applicable in the jurisdiction where Intertainex B.V. operates, without regard to its conflict of law provisions.

10. Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

11. Amendments

Company reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
